These Terms and Conditions (hereinafter, the 'Terms') govern access to and use of the website terospik.com and the services offered by Terospik S.A., a corporation incorporated under the laws of the Republic of Ecuador, with registered address at Av. República del Salvador N34-127 y Suiza, Edificio Platinum, Office 702, Quito, Ecuador, registered with the Commercial Registry of Canton Quito under Inscription No. 2847-T, Volume 189.
1. Acceptance of terms
By accessing and using this website, you declare that you have read, understood, and accepted these Terms in their entirety. If you do not agree with any provision, you must refrain from using the site and associated services. Continued use of the site constitutes acceptance of any subsequent modifications to these Terms.
2. Description of service
Terospik operates a digital real estate crowdlending platform that facilitates the connection between investors and real estate project developers in Ecuador. The platform allows registered users to explore investment opportunities, make capital contributions, and monitor the performance of their investments. Terospik acts as a technological intermediary and not as a financial entity, investment advisor, or guarantor of the published projects.
3. Eligibility requirements
To use Terospik's investment services, you must: be at least eighteen (18) years of age; possess legal capacity to enter into binding contracts under Ecuadorian law; provide truthful and up-to-date information during the registration process; comply with identity verification and anti-money laundering requirements established by current regulations; and not be subject to economic sanctions or international trade restrictions.
4. Investment risks
Investment in real estate projects through crowdlending platforms carries inherent risks, including but not limited to: partial or total loss of invested capital; delays in project execution; real estate market fluctuations; investment illiquidity risk; and developer default. Terospik does not guarantee returns and recommends that each investor carefully evaluate their financial capacity and risk tolerance before investing.
5. Intellectual property
All website content, including text, graphics, logos, icons, images, audio and video clips, data compilations, and software, is the property of Terospik S.A. or its licensors and is protected by Ecuador's intellectual property laws and international treaties. Reproduction, distribution, modification, or commercial use without express written authorization is prohibited.
6. Limitation of liability
Terospik shall not be liable for direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the platform, including loss of profits, data, or business opportunities. Terospik's total liability shall not exceed the amount of fees actually charged to the user during the twelve (12) months preceding the event giving rise to the claim.
7. Applicable law and jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ecuador. For any dispute arising from these Terms or the use of the platform, the parties submit to the jurisdiction of the ordinary courts of the city of Quito, waiving any other forum that may correspond to them.
8. Modifications
Terospik reserves the right to modify these Terms at any time. Modifications will be effective upon publication on the website. It is the user's responsibility to periodically review these Terms. Continued use of the platform after the publication of modifications constitutes acceptance thereof.
